Terms and conditions
1. General rules
1.1. These Terms and Conditions of Purchase and Sale of Goods (hereinafter referred to as the "Terms and Conditions"), once they have been approved by the Buyer (by ticking the checkbox when placing an order for goods and agreeing to the rules of the online store), shall be a binding legal document for the parties, which sets out the rights and obligations of the Buyer and MULTISISTEMA, UAB (hereinafter referred to as the "Seller"), the terms and conditions of purchase of the goods and the conditions of payment for the goods, the procedure for delivery and return of the goods, the liability of the parties and any other provisions relating to the purchase of the goods in the online store.
1.2. The Seller reserves the right to change, amend or supplement the Terms and Conditions at any time, taking into account the statutory requirements.
2. Moment of conclusion of the contract of sale
2.1. The Purchase and Sale Agreement shall be concluded for each order. The contract between the Buyer and the Seller shall be deemed to be concluded from the moment the Buyer, in the online shop, forms a shopping cart, specifies the delivery address, chooses the method of payment, and, after having read and understood these Terms and Conditions, clicks on the "ORDER" button.
2.2. The Sale and Purchase Agreement shall remain in force until the obligations under these Terms and Conditions have been fully performed.2.3. Each Purchase and Sale Agreement concluded between the Buyer and the Seller shall be stored in the MULTISISTEMA, UAB online shop.
3. Buyer's rights
3.1. The Buyer shall have the right to purchase goods in mstools.lt, mstools.eu, multisistema.lt electronic stores in accordance with the requirements set out in these Terms and Conditions and the legislation of the Republic of Lithuania.
3.2. The Buyer shall have the right to withdraw from the contract of sale of goods with the Seller by notifying the Seller in writing within 7 working days from the date of delivery of the goods, in accordance with the Order of the Minister of Economy of the Republic of Lithuania No. 258 of 17 August 2001 "On the Approval of the Rules of the Sale of Goods and Provision of Services when Contracts are Concluded by Means of Communication", provided that the goods have not been damaged or have not been substantially altered in appearance, and that they have not been subjected to use.
3.3 The Buyer may order the goods 24 hours a day, all year round. Orders placed after 4pm on weekdays, at weekends or on public holidays will be reviewed on the next working day. In exceptional cases, orders may be placed by telephone at the "Contact Us" section between 8am and 5pm on weekdays, or by email at info@multisistema.lt.
3.4. The Buyer has the right to refuse to receive newsletters or to unsubscribe at any time from mstools.lt, mstools.eu, multisistema.lt.
4. Obligations of the Buyer
4.1 The Buyer shall pay for and accept the Goods in accordance with these Terms and Conditions.
4.2 The goods ordered by the Buyer shall be reserved and the Seller shall only proceed with the performance of the contract of sale when the Seller receives notification from the bank of payment for the selected goods. The Buyer must make the payment order no later than 48 hours after clicking on the "Place Order" button. If the payment order is not made within this period, the Seller has the right to consider that the Buyer has withdrawn from the contract of sale and to cancel the order placed by the Buyer.
4.3 The Buyer must ensure that the data provided during registration and ordering is correct.
4.4 If the data provided by the Buyer on the registration form changes, the Buyer must update it immediately.
4.5 The Buyer must comply with the requirements set out in these Rules and the legislation of the Republic of Lithuania.
5. Seller's rights
5.1. The Seller shall have the right, at its sole discretion, to determine the minimum basket size, i.e. the minimum amount at which the Buyer's order will be fulfilled.
5.2 If the Buyer attempts to undermine the stability and security of the online shop or violates his/her obligations, the Seller shall have the right to restrict or suspend the Buyer's access to the online shop or, in exceptional cases, to cancel the Buyer's registration, immediately without notice.
5.3. In the event of serious circumstances, the Seller may temporarily or permanently suspend the operation of the Online Shop without prior notice to the Buyer.
5.4. The Seller shall be entitled to cancel the Buyer's order without prior notice to the Buyer if the Buyer fails to make a payment order within 3 (three) working days of the placing of the order.
5.5 The Seller shall have the right to unilaterally change the terms of these Terms and Conditions.
5.6. The Seller has the right to provide links to other websites on the website, but is not responsible for the information or activities published therein.
5.7. The Seller shall have other rights provided for in the Terms and Conditions and in the legislation of the Republic of Lithuania.
6. Seller's obligations
6.1. The Seller undertakes to enable the Buyer to use the services provided by the online shop under the terms and conditions set out in these Terms and Conditions and in the online shop.
6.2. The Seller undertakes to respect the Buyer's right to privacy with regard to his/her personal information, i.e. to process the personal data provided by the Buyer only in accordance with the procedures set out in the Privacy Policy and the legislation of the Republic of Lithuania.
6.3 The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by the Buyer in accordance with the terms and conditions set out in these Terms and Conditions.
6.4 If the Seller, due to important circumstances, is unable to deliver the goods ordered to the Buyer, the Seller undertakes to offer an analogous or, as far as possible, similar product. If the Buyer refuses to accept an analogous or most similar product, the Seller undertakes to refund the money paid by the Buyer within 3 (three) working days, provided that prepayment has been made.
6.5. If the Buyer exercises the right provided for in Clause 3.2 of the Regulations and under the condition set out in that Clause, the Seller undertakes to refund the money paid to the Buyer within ten (10) working days to the account of the Buyer, calculated from the date of receipt of the returned goods.
7. Price, payment procedure and terms
7.1. The prices of the goods in the online shop and in the order form are indicated in euros including VAT or excluding VAT, according to the selected request.
7.2 A description of each specific Product is provided next to its description. If the information provided to the Buyer is not sufficient, the Buyer must contact the Seller for further information. By ordering a Product, the Buyer confirms that the information provided in the Shop about the Product is complete and clear to the Buyer.
7.3 The Seller shall have the right to change the range of products, their descriptions, prices, delivery terms and other information in the Shop at any time without informing the Buyer.
7.4 The delivery charge is not included in the price of the Goods unless expressly stated otherwise.
7.5 The Buyer may pay for the Goods only by bank transfer to the following account:

7.6. If the order is confirmed and the goods are not paid for within 3 (three) working days, the Seller shall have the right to cancel the order without prior notice.
8. Delivery of Goods
8.1. The Seller shall deliver the Goods throughout Lithuania and abroad.
8.2. The Buyer undertakes to specify the exact place of delivery of the Goods and the contact telephone number at the time of ordering.
8.3 The Buyer undertakes to accept the goods himself. In the event that he/she is unable to accept the goods himself/herself and the goods have been delivered to the address indicated and on the basis of other data provided by the Buyer, the Buyer shall not have the right to claim against the Seller for the delivery of the goods to the wrong entity.
8.4 The Goods shall be delivered in Lithuania no later than within 3 (three) working days after receipt of payment. Goods shall be delivered to foreign countries in accordance with the terms set by the parcel service.
8.5. Goods shall be delivered by the Seller's authorised parcel service.
8.6. The price of delivery depends on the value of the goods ordered. For information on the delivery price, please refer to the section "Delivery of Goods".
8.7 At the time of delivery of the Goods, the Buyer shall inspect the condition of the consignment, the quantity, quality and range of the Goods together with a representative of the Seller or of the Seller's authorised parcel service. If the Buyer or any other person accepting the goods signs the consignment note without remark, the consignment shall be deemed to have been delivered undamaged and no subsequent claims for damage to the packaging of the consignment shall be accepted.
8.8 In the event that the Buyer cancels the contract of sale, the Buyer shall be liable for all direct costs of returning the goods to the Seller. The amount of such costs incurred by the Seller shall be deducted from the money paid by the Buyer for the item(s) to be returned. If the set-off does not cover the Seller's claim in full, i.e. if the Seller's costs of returning the goods exceed the value of the item(s) to be returned, the Buyer undertakes to pay to the Seller the remaining amount within 15 days.
8.9 The Seller shall deliver the Goods to the Buyer in accordance with the terms specified in the descriptions of the Goods. These time limits are provisional and do not apply in cases where the Seller does not have the goods in stock and the Buyer is informed of a shortage of the goods ordered. The Buyer also agrees that in exceptional cases the delivery of the goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such a case, the Seller undertakes to contact the Buyer immediately to agree on the terms of delivery of the goods.
8.10. In all cases, the Seller shall be exempt from liability for breach of the time limits for delivery of the goods if the goods are not delivered to the Buyer or are not delivered on time due to the Buyer's fault or due to circumstances beyond the Buyer's control.
8.11. The Buyer may collect the Goods free of charge from the Seller's collection point located at Žirnių g. 28a, Vilnius.
8.12. The ordered goods must be collected no later than within 3 (three) working days from the moment of receipt of the Seller's confirmation that the order is ready.
8.13. The Goods may only be collected by the person who placed the order or by the person specified at the time of placing the order. When collecting the Goods, it is necessary to carry and present to the Seller's employee a valid proof of identity (identity card, passport or new driving licence).
9. Guarantee of the quality of the Goods and the period of fitness for use
9.1. The characteristics of each item sold in the online shop are set out in general terms in the description of each item.
9.2 The Seller shall not be liable for the fact that the colour, shape or other parameters of the goods in the online shop may not correspond to the actual size, shape and colour of the goods due to the characteristics of the display used by the Customer.
9.3. The colour of the goods may not match the colour shown in the photograph.
9.4. The goods sold in the Shop have an indefinite shelf life, unless otherwise stated next to the item.
10. Returns
10.1 Returns shall be made in accordance with the provisions of 29 June 2001. No 217 of the Minister of Economy of the Republic of Lithuania "On Approval of the Rules for the Return and Exchange of Goods". The Buyer may return the goods via the courier who delivered them or by sending them by post or by his own transport. In this case, the Buyer shall receive a full refund of the price paid for the returned goods, but shall not be reimbursed or compensated for the cost of delivery. The costs of returning the goods to the Seller shall be borne by the Buyer. For goods returned in accordance with the conditions set out in this clause, the money paid by the Buyer shall be refunded no later than 15 working days from the date of delivery of the goods returned by the Buyer to the Seller.
10.2 Returned Goods must have intact seals (if any), must be in the original packaging of the Goods and the consignment and must not be used or have lost their merchantable appearance. The Buyer is responsible for the complete assembly and packaging of the goods. If the goods are not complete, have been used and/or have been damaged and/or have lost their merchantable appearance, are in disrepair and/or are not properly packaged, the Seller shall have the right not to accept the returned goods and not to refund the money paid by the Buyer for the returned goods.
10.3 If the goods purchased did not meet the quality requirements, the Seller undertakes to replace the goods of unsatisfactory quality with goods of satisfactory quality, to reduce the price of the goods accordingly, or to refund the money paid for the goods and their delivery within 7 days of the date of request. The goods must be returned in the original packaging of the goods and the parcel. The Buyer must also provide the original invoice for the goods and a completed and signed returns form stating the reason for the return.
11. Liability
11.1 The Buyer is responsible for the accuracy of the data provided in the registration form. The Buyer shall be liable for the consequences of any inaccuracy or inaccuracy of the data provided in the registration form.
11.2. The parties shall be liable for the breach of the contract of purchase and sale concluded through the e-shop in accordance with the procedure established by the legislation of the Republic of Lithuania.
11.3 The Buyer is responsible for the transfer of registration data to third parties. If third parties use the Buyer's registration data, the Buyer shall be liable for the actions performed by the third party.
11.4. The Seller is not responsible for the information provided on the websites of other companies, even if the Buyer accesses these websites via links on the Seller's e-shop.
11.5 In the event of damage, the party at fault shall indemnify the other party against any loss suffered.
12. Final Provisions
12.1. These Rules are made in accordance with the legislation of the Republic of Lithuania.
12.2. The relations arising from these Rules shall be governed by the law of the Republic of Lithuania.
12.3 Any disagreements arising from the implementation of these Rules shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
